What is Shares outstanding?

The total number of a company's shares sitting in investors' hands. Divide your shares by that number and you get the fraction of the company you own.

If a company has 2 billion shares outstanding and you hold 200, you own one ten-millionth of it. It's also the denominator under most per-share figures — earnings per share, dividend per share, and your own slice. The count moves: buybacks shrink it, new share issues grow it, and a stock split multiplies it without changing what anyone already owns.
